Welcome to VIKTOR RESEARCH. These Terms & Conditions ("Terms") govern your access to and use of the VIKTOR RESEARCH website, mobile experiences, products, and services (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, please do not use the Services.

ELIGIBILITY

The Services are intended for users who are at least the age of majority in their jurisdiction of residence. By using the Services, you represent and warrant that you have the legal capacity to enter into a binding agreement with VIKTOR RESEARCH and that you will comply with these Terms and all applicable laws.

ACCOUNTS AND REGISTRATION

To access certain features of the Services, you may be required to create an account. You agree to provide accurate, current, and complete information and to keep that information up to date. You are responsible for safeguarding your login credentials and for any activity that occurs under your account. You agree to notify VIKTOR RESEARCH immediately of any unauthorized access or suspected breach of security.

VIKTOR RESEARCH reserves the right to suspend or terminate your account at any time, with or without notice, if we believe you have violated these Terms or engaged in conduct that may harm VIKTOR RESEARCH, its customers, or third parties.

ORDERS, PRICING, AND AVAILABILITY

All orders placed through the Services are offers to purchase, which VIKTOR RESEARCH may accept or decline in its sole discretion. We reserve the right to limit quantities, refuse orders, discontinue products, and correct any errors, inaccuracies, or omissions, including after an order has been submitted. Prices, promotions, and product availability are subject to change without notice.

In the event of a pricing error, VIKTOR RESEARCH reserves the right to cancel the affected order and issue a refund of any amounts charged. Taxes, shipping, and handling charges are calculated based on your shipping destination and the items in your order.

PAYMENT

You agree to provide current, complete, and accurate purchase and account information for all purchases made through the Services. You authorize VIKTOR RESEARCH and its payment processors to charge your selected payment method for the total amount of your order, including applicable taxes and shipping fees. If your payment method cannot be verified, is invalid, or is otherwise not acceptable, your order may be suspended or cancelled.

SHIPPING, RISK OF LOSS, AND RETURNS

Shipping times are estimates and are not guaranteed. Title and risk of loss for products pass to you upon delivery to the carrier. Returns, exchanges, and refunds are governed by our then-current Shipping & Returns policy, which is incorporated into these Terms by reference.

LICENSE TO USE THE SERVICES

Subject to your compliance with these Terms, VIKTOR RESEARCH grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal, non-commercial use. You may not use the Services for any other purpose without our prior written consent.

INTELLECTUAL PROPERTY

"VIKTOR RESEARCH" and related names, logos, product names, and slogans are trademarks of VIKTOR RESEARCH. You may not use these marks without our prior written permission.

USER CONTENT

The Services may allow you to submit reviews, comments, photographs, suggestions, and other materials ("User Content"). You retain ownership of your User Content, but you grant VIKTOR RESEARCH a worldwide, perpetual, irrevocable, royalty-free, fully paid, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, distribute, publicly perform, publicly display, and create derivative works of your User Content in any media and for any purpose, including advertising and marketing.

You represent and warrant that you own or control all rights in your User Content, that the User Content is accurate, and that the use of your User Content does not violate these Terms or any applicable law and will not cause injury to any person or entity.

PROHIBITED CONDUCT

You agree not to use the Services to: (a) violate any applicable law or regulation; (b) infringe the rights of any third party; (c) transmit any unlawful, harassing, defamatory, obscene, or otherwise objectionable material; (d) interfere with or disrupt the Services or any servers or networks connected to the Services; (e) attempt to gain unauthorized access to any portion of the Services or any related systems; (f) use any automated means, including bots, scrapers, or crawlers, to access the Services; or (g) reverse engineer, decompile, or disassemble any portion of the Services.

THIRD-PARTY LINKS AND SERVICES

The Services may contain links to third-party websites, applications, or services that are not owned or controlled by VIKTOR RESEARCH. VIKTOR RESEARCH has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party services. Your interactions with third parties are solely between you and the third party.

DISCLAIMERS

THE SERVICES AND ALL CONTENT AND PRODUCTS PROVIDED THROUGH THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, VIKTOR RESEARCH DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

VIKTOR RESEARCH does not warrant that the Services will be uninterrupted, secure, or error-free, that defects will be corrected, or that the Services or the servers that make them available are free of viruses or other harmful components.

LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL VIKTOR RESEARCH OR ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SERVICES.

IN NO EVENT WILL VIKTOR RESEARCH'S AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS (US $100) OR THE AMOUNT YOU PAID VIKTOR RESEARCH IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.

INDEMNIFICATION

You agree to defend, indemnify, and hold harmless VIKTOR RESEARCH and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services, including any User Content you submit.

GOVERNING LAW AND DISPUTE RESOLUTION

These Terms and any dispute arising out of or relating to the Services will be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of laws principles. You agree that any dispute will be resolved exclusively in the state or federal courts located in New York County, New York, and you consent to the personal jurisdiction of those courts.

ARBITRATION AND CLASS ACTION WAIVER

To the extent permitted by applicable law, you and VIKTOR RESEARCH agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services will be resolved by binding individual arbitration, and not in a class, representative, or consolidated action or proceeding. You and VIKTOR RESEARCH waive any right to a jury trial.

CHANGES TO THESE TERMS

VIKTOR RESEARCH may modify these Terms at any time by posting the revised Terms on the Services and updating the "Last Updated" date. Your continued use of the Services after the revised Terms are posted constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Services.

TERMINATION

VIKTOR RESEARCH may suspend or terminate your access to the Services at any time, with or without notice, for any reason, including if we believe you have violated these Terms. Upon termination, all provisions of these Terms which by their nature should survive will survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

SEVERABILITY AND ENTIRE AGREEMENT

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect. These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and VIKTOR RESEARCH regarding the Services and supersede all prior agreements and understandings.
